1. Introduction

1.1. The A2B service is an online application, a smartphone application, and a phone platform (“Application”) where individuals interested in passenger or goods transportation services (“Users”) are offered services by professional drivers who hold the required licenses (“Drivers”).

1.2. The Service is operated by Taxi Chaplin & Oriental Sàrl, headquartered at Route des Deux-Villages 59, 1806 Saint-Légier-La Chiésaz. The company can be contacted by email at info@a2bswiss.ch.

1.3. By using the Service, Users accept these Terms of Use (the “Terms”).

1.4. Taxi Chaplin & Oriental Sàrl reserves the right to modify these Terms at any time, by notifying Users via email.

2. Subscription

2.1. Individuals (over 18 years old) and businesses are eligible to subscribe to the Service.

2.2. To use the Service, Users must create a User account and provide certain personal information, such as bank and/or credit card details.

2.3. Users must not disclose their login credentials or personal passwords that provide access to the Service.

2.4. To use all features of the Application, Users must have an Android or iOS smartphone with GPS functionality. A2B (Taxi Chaplin & Oriental Sàrl) does not guarantee that the Application is or will be available for all types of smartphones.

2.5. Subscription to the Service is free. However, use of the Service will be charged in accordance with these Terms.

2.6. A2B (Taxi Chaplin & Oriental Sàrl) reserves the right to refuse or cancel any subscription at its sole discretion and for any reason.

2.7. Users have the right to close their User account at any time.

3. Intellectual Property

3.1. All intellectual property rights (trademarks, copyrights, etc.) related to the Service or any part thereof, such as the Application, its content, or the trademarks and logos of A2B (Taxi Chaplin & Oriental Sàrl) (“Intellectual Property Rights”), shall remain at all times the exclusive property of A2B (Taxi Chaplin & Oriental Sàrl).

3.2. Users are not authorized to modify or alter in any way the Intellectual Property Rights of A2B (Taxi Chaplin & Oriental Sàrl).

3.3. Any content uploaded to the Application (such as profile pictures or other materials) or otherwise transmitted to A2B (Taxi Chaplin & Oriental Sàrl) shall remain the property of the User. However, by transmitting this content, the User agrees to grant A2B (Taxi Chaplin & Oriental Sàrl) a license to use any Intellectual Property Rights related to such content.

The User must not upload, publish, transmit, or distribute in the Application or any other part of the Service any copyrighted content for which the User does not own all rights, unless explicit written authorization is obtained from the author and copyright holder.

4. Usage Restrictions

4.1. Users may only use the Service for lawful purposes and must not (attempt to) violate any local, national, or international laws or regulations, including but not limited to those related to copyright, trademarks, obscenity, privacy, and information security.

4.2. Users must not knowingly introduce viruses or other harmful programs or files and must exercise reasonable care to avoid doing so, either knowingly or unknowingly.

4.3. Users must not, directly or indirectly, reverse engineer, decompile, disassemble, or attempt to discover the source code, underlying ideas, or algorithms of the Application.

5. Privacy

5.1. Some of the Users’ personal data (“Data”) may be collected by A2B (Taxi Chaplin & Oriental Sàrl). The data controller is A2B (Taxi Chaplin & Oriental Sàrl), whose identity, address, and contact details are mentioned above.

5.2. The following Data will or may be collected upon subscription to the Service: identity, personal photo, email address. This Data will be processed for the operation and management of the User’s account and for the functioning of the Service. Email addresses may also be processed for marketing purposes related to the Services.

5.3. Geolocation Data will be collected when using the Service. This Data will be processed to optimize the Service provided to the User and, after anonymization, for statistical purposes.

5.4. Credit card data will also be collected upon subscription to the Service and will be processed to handle payments collected by A2B (Taxi Chaplin & Oriental Sàrl).

5.5. Users have the right to request access to and correction of their Data at any time. Users can exercise these rights via their personal user account or by contacting A2B (Taxi Chaplin & Oriental Sàrl).

5.6. Users have the right to object at any time to the processing of their Data for marketing purposes. Users can exercise this right by contacting A2B (Taxi Chaplin & Oriental Sàrl).

6. Warranty

6.1. A2B (Taxi Chaplin & Oriental Sàrl) provides the Service “as is” without express or implied warranties regarding quality, accuracy, suitability, merchantability, fitness for a particular purpose, or non-infringement.

6.2. To the extent permitted by applicable laws, neither A2B (Taxi Chaplin & Oriental Sàrl) nor its managers, employees, or other subcontractors provide any express or implied warranty regarding the operation of the Service, including whether the Service will be available at a specific time or location, uninterrupted, free of viruses or errors, or whether errors will be corrected.

7. Services and Pricing

7.1. The price of a service is determined at the time of booking and is provided to the customer before confirming the reservation. The final price may be adjusted based on various factors such as unplanned rerouting, waiting time exceeding the free waiting time, which is set at 3 minutes (except for airports, where the free waiting time is set at 40 minutes).

7.2. The User is informed that minimum prices will apply in accordance with regulations.

7.3. The User will receive a confirmation email (if provided) containing the price of each trip at the end of the ride.

7.4. Billing and payment collection will be carried out according to the payment method chosen by the User, which may include invoice, cash, or credit/debit card. Invoices will be sent electronically, and the User expressly agrees to this.

7.5. The User acknowledges that cancellation fees will apply according to the following rules:
If pickup occurs within our Riviera Activity Zone (see map below), then:

1) For an “as soon as possible” booking for all service types:

If the ride is canceled more than 3 minutes after booking confirmation, a fee of 6 CHF (VAT included) will be charged if the driver has not yet arrived at the pickup point.
If the driver has already arrived at the pickup point, a fee of 10 CHF (VAT included) will be charged.
Cancellations made in the Riviera South zone, which is part of the Riviera Activity Zone, are exempt from cancellation fees.

2) For a “pre-booking” for “Standard,” “Green,” and “Minivan” services:

If the driver is en route, a cancellation fee of 6 CHF (VAT included) will be charged.
If the driver has arrived at the pickup point, a cancellation fee of 10 CHF (VAT included) will be charged.

3) For a “pre-booking” for “Business,” “Van,” “Van Premium,” and “Handicap” services:

If the ride is canceled more than 3 minutes after booking confirmation and the driver has already arrived at the pickup point, 50% of the price of the distance between Vevey train station and the pickup point will be charged, with a minimum fee of 50 CHF.
If the driver has not yet arrived at the pickup point, 25% of the price of the distance between Vevey train station and the pickup point will be charged, with a minimum fee of 50 CHF.
If pickup occurs outside our Riviera Activity Zone (see map below), then:

1) For an “as soon as possible” booking for all service types:

If the ride is canceled more than 3 minutes after booking confirmation and the driver has already arrived at the pickup point, 50% of the price of the distance between Vevey train station and the pickup point will be charged.
If the driver has not yet arrived at the pickup point, 25% of the price of the distance between Vevey train station and the pickup point will be charged.
2) For a “pre-booking” for “Standard,” “Green,” and “Minivan” services:

If the ride is canceled more than 3 minutes after booking confirmation and the driver has already arrived at the pickup point, 50% of the price of the distance between Vevey train station and the pickup point will be charged.
If the driver has not yet arrived at the pickup point, 25% of the price of the distance between Vevey train station and the pickup point will be charged.
3) For a “pre-booking” for “Business,” “Van,” “Van Premium,” and “Handicap” services:

8. Waiting Fees

When the driver arrives at the pickup point, 3 minutes of waiting time are free. After that, the current taxi service rates apply, which amount to 1 CHF per minute (VAT included).

9. Liability and Indemnification

9.1. Except in cases of gross negligence or fraud, and to the fullest extent permitted by applicable law, A2B (Taxi Chaplin Sàrl), its managers, employees, and subcontractors cannot be held liable for the actions or omissions of the User.

9.2. The liability of A2B (Taxi Chaplin Sàrl) towards the User shall, in any case, be strictly limited to:

Direct losses only (excluding any indirect or non-material damages).
A maximum total amount of 1,000 CHF per event.

9.3. The User agrees to defend, indemnify, and hold harmless A2B (Taxi Chaplin Sàrl), its managers, employees, and subcontractors from any claims (including third-party claims), damages, and expenses, including attorney fees, arising from the User’s actions or omissions.

Severability

If any part of these Terms is found to be invalid or unenforceable for any reason, the remaining provisions shall remain valid and enforceable, as if the invalid or unenforceable provision had not been included.

Waiver

The failure of A2B (Taxi Chaplin Sàrl) to enforce a right or provision of these Terms shall not be considered a waiver of such right or provision.

Governing Law and Jurisdiction

These Terms are governed and interpreted in accordance with Swiss law, and the exclusive jurisdiction for any disputes shall be Bern, Switzerland.
